There is an immediate opening for a Transactional Attorney (Legal Counsel) looking for an in-house practice in transactional legal work to support the Zions Bancorporation, N.A. ("Bank") commercial and retail lending operations as well as the Bank's Corporate Trust department.

The position provides direct support for the following business lines and/or functions:

  • Experience as in-house counsel at a financial institution or representing financial institutions as outside counsel is preferred, but not required.
  • Counsel will join a team of attorneys within the Bank's legal department who support the Bank's commercial and retail lending operations across the Bank's regional divisions.
  • Counsel will render legal advice to Bank lending and operational units regarding issues affecting all phases of commercial lending transactions.
  • Counsel will review and draft loan documentation, review title commitments and corresponding exception documentation, review and abstract lease agreements, review entity organizational documentation, review loan party trust documentation, review powers of attorney, review non-disclosure agreements, and other ancillary documentation received by the Bank.
  • Knowledge of, and familiarity with, commercial loan documentation is preferred.
  • Familiarity with Laser Pro is a strong plus, but not required.
  • Counsel will help support the Bank's Corporate Trust department with responsibility to provide legal advice and services for all phases of Corporate Trust transactions, including the review and revision of Corporate Trust documentation, including indentures, escrow agreements, custody agreements, paying agent and registrar agreements, and blocked account agreements.
  • Counsel will advise internal clients on establishment, management and administration of Corporate Trust accounts and support the Bank in its various roles as trustee, custodian and paying agent.
  • Knowledge of securities laws and legal issues regarding municipal and corporate bond issuances is preferred.
  • The successful candidate will be adept at managing complex legal projects and transactions with minimal oversight, making decisions, working with counsel for various parties, and engaging and overseeing outside counsel for the Bank where necessary.
  • The position requires the ability to ascertain all of the relevant facts underlying each transaction and to identify and address the applicable complex issues presented in any given transaction.
  • Counsel must also exercise legal judgment in matters with potentially significant financial and legal exposure.

Job Qualifications:

  • JD from an ABA accredited law school and an active license to practice law in Utah, Arizona, Idaho, Nevada, California, Washington, Oregon or Texas. A license to practice law in Utah or Idaho is preferred.
  • 2+ years of related experience preferably in a commercial lending and/or corporate trust administrative role.
  • Familiarity with LaserPro is beneficial, but not required.
  • Ability to handle multiple projects simultaneously, both daily immediate short-term projects and long-term projects.
  • Strong decision making and problem-solving skills.
  • Hybrid work schedule available, with preference to work in Salt Lake City or Boise office a few days per week. A hybrid work schedule arrangement may be subject to change in the future based upon the Bank or legal department needs or requirements.
  • General knowledge of UCC Article 9 and secured transaction law and concepts is preferred.
  • Familiarity with real property law and concepts is preferred.
