Job Description

Senior Corporate Paralegal Position :

We are looking for an experienced, motivated and resourceful Senior Corporate Pralegal to join Alkermes' Legal team. The senior corporate paralegal will provide cross-functional support to members of Alkermes' Legal team and other business partners across a range of legal matters, including corporate governance and compliance, entity and document management, transactional support and various other corporate matters.

Primary Responsibilities:

  • Maintain corporate governance documents and records, including board and committee minutes, consents and other corporate filings
  • Manage director and officer information and assist with Board communications, including preparation and distribution of materials for Board and committee meetings and coordination of committee calendars
  • Prepare for annual meeting of shareholders, including drafting meeting materials and coordinating with internal and external stakeholders
  • Manage corporate subsidiaries, including filing of annual franchise tax reports and foreign business registrations, procurement of certificates of good standing and drafting and maintenance of corporate entity organizational and governance documents
  • Assist with corporate policy maintenance and training requirements
  • Assist with management of Insider Trading Policy and internal preclearance procedures for employee stock transactions, including liaising with outside captive broker on 10b5-1 plans and other matters
  • Assist with SEC reporting and compliance, including use of EDGAR and Intelligize to conduct searches of public company filings and preparation and drafting of filings such as 8-Ks, 10-Ks, 10-Qs and proxy statements, powers of attorney, Section 16 filings and other securities-related forms
  • Assist with drafting and development of templates, forms, letters and other legal documents and coordination of approvals, signatures, notarization, and legalization of documents
  • Manage internal filing systems and responses to requests for information
  • Provide corporate transactional support to the legal team and other internal functions, which may include data room management, due diligence requests and coordinating and assisting with document review, drafting resolutions, certificates and other closing documents, and preparing and tracking signature pages

Qualifications and Experience Requirements:

  • Bachelor's Degree
  • At least 5-10 years of relevant corporate paralegal experience with a law firm and/or in an in-house environment
  • Prior experience at a public company and familiarity with EDGAR and SEC filings
  • Strong working knowledge of U.S. subsidiary maintenance and corporate governance and recordkeeping
  • Proficient in Outlook, Word, Excel and PowerPoint; experience with Diligent Board Portal a plus
  • Strong interpersonal, verbal and written communication skills
  • Excellent organizational skills and attention to detail
  • Strong critical thinking and problem-solving skills, including the ability to identify, resolve or escalate issues in a timely manner
  • High level of confidentiality and discretion in handling of legal matters
  • Experience interacting with Board members, senior management, vendors, collaborators and internal teams
  • Demonstrated ability to manage multiple projects, prioritize and meet deadlines in a fast-paced environment
  • Self-initiating, team-oriented, with a positive attitude and ability to work well both independently and in cross-functional teams
  • Notary Public license preferred
