Responsibilities

Dovel is seeking to add an intern to its law department to serve as a Law Fellow for a period of 3 to 6 months.  The Law Fellow is a recent graduate of an ABA accredited law school who is seeking to gain substantive experience to secure a full-time legal position at either a law firm or other in-house legal department.  The Law Fellow will report directly to the Chief Legal Officer (CLO) and SVP, Corporate Development, and support a diverse variety of legal and business functions at Dovel.  The Law Fellow position is temporary in nature and will not result in full time employment at Dovel.

 

The Law Fellow position is expected to be 100% telework in nature.  Therefore, qualified candidates from outside Virginia are welcome to apply.  The position is for 40 hours per week but candidates who are currently sitting for a bar exam may work part time to accommodate bar study needs.

 

 

Responsibilities:

    The role and responsibilities of the Law Fellow will be determined by the skills of the successful candidate and the needs of the CLO. Duties may cover the following areas:

Legal/Corporate/Contracts

  • Support of government contracting matters, including legal research, bid support and protests. Provide support to Dovel’s contract executives, as needed.
  • Responding to U.S. government requests for information, investigations, Freedom of Information (FOIA) Act requests, audits or other government inquiries.
  • Support for employment law matters.
  • Board of Director support, including the preparation of resolutions and meeting minutes.
  • Providing general legal guidance to Dovel’s functional and operations teams.
  • Oversight and collaboration with external counsel on the above matters.

Corporate Development/M&A

  • Legal due diligence on target companies.
  • Preparation of M&A documentation, including indications of interest, letters of intent, definitive agreements and closing certificates.
  • Coordination of merger integration activities.
  • Maintaining a database of proprietary M&A targets.
  • Reviewing and summarizing confidential offering memos (CIMs) from investment banks.
  • Direct interaction with investment bankers and target management as appropriate.

Corporate Administration

  • Legal and corporate support for the other functions within the CLO Office, including IT, Quality and Facilities.

 

Qualifications
  • Recent graduate of an ABA accredited law school
  • The ability to commit to an internship period of no less than 3 months. Any extension beyond this time will be based on the mutual agreement of the CLO and Law Fellow.
  • Currently sitting for the bar exam in a State or territory that is eligible for a Virginia Corporate Counsel Certificate from the Virginia Board of Bar Examiners
  • Superior work ethic and uncompromising integrity.
  • Humility and collaborative nature.

 

Desired:

 

  • Background in technology, government contracts or life sciences.
  • Strong finance/quantitative skills.
